This book provides an overview of useful knowledge to assess, mitigate and manage the litigation risks that Italian companies face when doing business in the United States Those who operate in the US markets are often unaware of the risks they face, which are fundamentally different than those associated with doing business in Italy or other European countries.
For international markets, especially in the US, it is essential to prevent problems related to commercial activity, putting in place practical actions and precautions that allow you to avoid or minimize the risk of claims for damages and litigation that can significantly impact the organization and company finances. The work is the result of a collaboration between American and Italian lawyers, who draw on decades of experience in representing Italian companies doing business in the US and other foreign markets, dealing with multiple commercial disputes of different kinds.
We have chosen a practical approach, based on the lessons learned from these experiences, with a wide audience in mind: entrepreneurs, CEOs, CFOs, export managers, corporate lawyers, lawyers, accountants and consultants who assist their clients operating in the American market. The ultimate goal is to provide operators with the necessary tools to face a market that offers great opportunities and just as many risks in the safest way possible.
About the Authors
Roberto Luzi Crivellini
Roberto Luzi Crivellini is an Italian lawyer specialized in international trade law, joint ventures and distribution agreements, as well as in litigation and international arbitration. Admitted to the Verona Bar Association since 1999, Roberto is a partner of Dindo Zorzi e associati. He has gained significant experience in the Chinese market and in Spanish-speaking countries. He graduated in law in Bologna, and he holds a post-graduate degree at the University Institute of European Studies.
He is the co-founder of Legalmondo and is a member of the Executive Committee of the Beijing International technology Transfer Network (ITTN); Roberto has also held the post of national representative for Italy of the International Young Lawyers (AIJA – International Association of Young Lawyers) where he was also president of Distribution Commission.
Roberto is author of several articles and publications mainly concerning international distribution and international private law. He is also co-author of the book Doing Business Abroad and Doing Business in China, and a regular speaker on the subject of international contracts and China investments.
Roberto is a native Italian speaker and speaks fluent English and Spanish and lives in Verona.
Irene Grassi
Irene Grassi, Italian lawyer, specializes in International Trade Law, Agency and Distribution Contracts, Business and Corporate Law, Private International Law, Insolvency Law, as well as in Litigation and International Arbitration.
She is partner of COCUZZA, an independent law firm based in Milan and Bologna. She has been a member of the Bar of Bologna since 1993 and she is admitted to the Italian Supreme Court. She is certified specialist for European Law. She graduated in law cum laude at the University of Bologna and obtained a PhD in European Law. She is a member of UIA, Union Internationale des Avocats of ACE, Avocats Conseils d’Entreprise and of the Italian Chamber of International Lawyers.

Giuseppe Scotti
Giuseppe Scotti has been practicing law since 1999, developing extensive experience in civil, commercial, and corporate litigation and arbitration. He also possesses significant expertise in corporate and insolvency law.
Giuseppe is a partner at Scotti Studio Legale Associato. Previously, he worked at Derek Elliot Law Firm (Paris, 1997-1998) and Baker & McKenzie (Bologna, 2002-2004), and served as of counsel at Macchi di Cellere Gangemi (Milan, 2015-2024). He earned his Law Degree with honors from the University of Parma and holds a Master of Laws (LL.M.) from the University of Michigan Law School.
Giuseppe served on the executive committee of AIJA (International Association for Young Attorneys) from 2009-2017 and as AIJA national representative for Italy from 2011 to 2014 and again in 2017. He is a former vice president of the Insolvency Law and Litigation Commissions and currently an Honorary Member. His professional affiliations include the Parma Bar Association, Camera Civile, UIA (Union Internationale des Avocats), IBA (International Bar Association), and Legalmondo. He is a former officer of Panathlon International, Past President of Rotary International Club Parma Est and board member of the Fondazione Museo Glauco Lombardi Maria Luigia e Napoleone.

Giuliano Stasio
Giuliano Stasio is an Italian lawyer and arbitrator specialized in commercial contracts and cross-border dispute resolution. He is a senior associate at Dindo Zorzi e Associati, where he coordinates the firm's Americas Desk.
His practice encompasses contract drafting and negotiation, advising on distribution networks, intellectual property, and corporate governance. He usually represents clients in litigation before Italian courts and arbitration proceedings, both as counsel and arbitrator.
In addition to his legal practice, Giuliano is an Adjunct Professor at the University of Verona, where he teaches Private International Law and International Civil Procedure and serves as a Teaching Assistant in Civil Procedural Law. He has been a visiting researcher at the Max Planck Institute for Comparative and International Private Law in Hamburg, Germany, and has authored multiple publications on international procedural and enforcement law.
Giuliano is actively engaged in international legal associations: he serves as President of the T.R.A.D.E. (Trade, Retail, Agency, Distribution, E-commerce) Commission within the International Association of Young Lawyers (AIJA) and is a member of Legalmondo. He is fluent in Italian, English, and Spanish, with a working knowledge of Portuguese.
Lucrezia Bolla
Lucrezia Bolla graduated in law with honors in 2022 from the University of Verona, with a thesis in private international law on international data transfer. She has been working with Dindo, Zorzi & Associati since 2024, after completing an internship at a well-known Italian law firm. In 2023 she specialized at the University of Milan with the "Coding for Lawyers" course and attended the "Cyber Legal" Executive Master of CyberAcademy. Previously, Lucrezia participated in research projects of the University of Verona and the University of Tartu (Estonia), respectively on Legal Design applications to FIDIC contracts and on Law and Artificial Intelligence.
Passionate about law and new technologies, she currently publishes contributions on Privacy, IP and IT law. She speaks Italian, English, and strives to appreciate French literature in the original language and lives in Verona.
Kent Schmidt
Kent Schmidt specializes in international litigation and is based in California. He is a partner at Dorsey & Whitney LLP, where he has practiced since 1998. His practice focuses on litigation defense and advising companies worldwide on navigating the risks of U.S. litigation. His typical client engagements include all types of litigation in the United States, with a particular focus on unfair trade practices, trade secret disputes, consumer class actions, product liability cases, financial asset and shareholder disputes, commercial contracts, Prop 65 (environmental) claims, and employment litigation. He is the author of the English edition of this book: U.S. Business Litigation Risks: A Comprehensive Business Handbook for Business Owners and the Attorneys Who Advise Them (Globe Law and Business) and co-author of the Italian, French adaptations as well as the forthcoming Brazilian adaptation. Kent also hosts SharkCast, a podcast in which he interviews guests on these topics. Kent is a member of Legalmondo, International Bar Association, International Association of Defense Counsel. He lives and works in Southern California.
